shareholders
The following information is extracted from the Company’s Register
of Substantial Shareholders.

Class of
shares and voting rights
At 4 September 2001, there were 23,196 holders of ordinary shares
in the company. The voting rights attaching to the ordinary shares,
set out in Clause 50 of the company’s Constitution, are:
a) every member
may vote
b) on a show of hands every member has one vote
c) on
a poll every member has:
- for each
fully paid share held by the member, one vote; and
- for each
partly paid share held by the member, a fraction of a vote equivalent
to the proportion which the amount paid up bears to the total
issue price of the share.
At 4 September
2001, there were 18,102,043 options over ordinary shares issued
to eligible employees at the absolute discretion of the board. The
options are generally exercisable 3 years after the date granted
or earlier in the case of the employee’s death or retirement.
